CTA Injunction Update

Litigation concerning the nationwide preliminary injunction against enforcement of the Corporate Transparency Act (CTA) remains ongoing. On December 13, 2024, the Department of Justice (DOJ) filed an emergency motion for stay pending its appeal before the Fifth Circuit Court of Appeals. The DOJ requested the court rule on this motion no later than December 27, 2024, to ensure reporting companies can be made aware of their obligation to comply with the CTA before the now-temporarily-enjoined January 1, 2025 reporting deadline. The appellate court issued a notice requesting plaintiffs to respond to the DOJ’s motion for stay by December 17, 2024, with the DOJ’s reply due by December 19, 2024.

Given the state of uncertainty, companies should ensure they are prepared to meet the filing deadline where the court lifts the injunction and reporting requirements snap back into place.
