CTA Update: CTA Reporting Deadline for Pre-2024 Companies Quickly Approaches

For entities formed prior to 2024, the reporting deadline is fast approaching.

Companies not otherwise exempt from reporting requirements (Reporting Companies) formed before 2024 must file their Beneficial Ownership Information (BOI) reports with the U.S. Department of Treasury’s Financial Crimes Enforcement Network before January 1, 2025. However, as a best practice, these companies should have BOI reports compiled and finalized well in advance of the January 1, 2025 deadline. And if not already considered, companies should now assess whether they are subject to the CTA’s reporting requirements.

Reporting Companies formed during 2024 must file BOI reports within 90 days of formation.

Attorneys from the Scopelitis Corporate Structuring and Strategy Practice, including Katie Feary-Gardner, Jordan Jacob, and J.D. Robinson, are available to assist with any questions concerning the CTA.
